Acceptable Use Policy

This Acceptable Use Policy (“AUP”) is incorporated into and forms part of the Agreement between Uniphore Technologies North America, Inc. (“Uniphore”) and Customer, and applies to Customer’s and its Users’ use of all Services provided under the Agreement. Capitalized terms not defined herein have the meanings set forth in the Agreement.

Customer agrees that it and each of its End Users and End Customers will comply with this AUP. Violations may result in suspension or termination of access to the Services, in addition to any other remedies available to Uniphore under the Agreement.

1. GENERAL OBLIGATIONS

Customer and each End User will:

  • Use the Services only for lawful purposes and in compliance with all applicable laws and regulations, including data protection, export control, anti-corruption, and intellectual property laws.
  • Use the Services only in accordance with the Agreement, including applicable Order Forms, SOWs, and Documentation.
  • Ensure that its Affiliates and End Customers accessing the Services comply with this AUP.
  • Implement appropriate human oversight and review procedures before acting on or distributing any Output generated by the Services.
  • Maintain the security and confidentiality of account credentials for the Services and promptly notify Uniphore of any known or suspected unauthorized access, use or disclosure.
  • Promptly notify Uniphore at [email protected] of any known or suspected violation of this AUP.

2. PROHIBITED USES

2.1 Illegal and Harmful Activities

Customer and each End User and End Customer will not use the Services or any Output to:

  • Violate any applicable law, regulation, judicial order, or governmental directive.
  • Engage in, facilitate, or promote any fraudulent, deceptive, or misleading activity.
  • Harass, threaten, intimidate, or defame any party, or discriminate against, any person or group.
  • Promote or facilitate any form of self harm, such as suicide or disordered eating.
  • Generate, distribute, or facilitate sexual violence, non-consensual intimate content, child sexual abuse material (CSAM) or any content that exploits or endangers minors.
  • Facilitate or promote terrorism, extremist violence, or organizations designated as terrorist or sanctioned by any applicable government.
  • Engage in or facilitate human trafficking, slavery, or forced labor.
  • Facilitate or engage in gambling.
  • Provide advice that requires a professional license, such as legal or medical advice, without the appropriate involvement of a qualified, licensed professional.
  • Violate any person’s privacy rights, including through unauthorized collection, use, or disclosure of personal data.

2.2 Competitive and Unauthorized Exploitation

Customer and each End User and End Customer will not:

  • Use the Services or any Output to develop, train, improve, or benchmark any competing product or service, or any artificial intelligence or machine learning model or system, without Uniphore’s prior written consent.
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, underlying models, algorithms, or trade secrets of the Services or any part thereof.
  • Sublicense, resell, transfer, or otherwise commercially exploit the Services or access thereto, except as expressly permitted by the Agreement.
  • Scrape, crawl, or systematically extract data from the Services beyond what is reasonably necessary for Customer’s permitted use.
  • Use the Services or Output to build a product or service that is substantially similar in function or appearance to any Uniphore product.
  • Access non-public areas of the Services or Uniphore’s systems without authorization.
  • Access or use the Services through any means other than Uniphore-provided interfaces, APIs, or Documentation.
  • Copy, reproduce, or imitate any features, functions, user interfaces, or graphics of the Services.
  • Exceed authorized usage volumes, rate limits, or capacity thresholds specified in the Agreement or Documentation without Uniphore’s prior written consent.
  • Use the Services in any manner that degrades performance or availability of the Services for other customers.
  • Use the Services for cryptocurrency mining or similar resource-intensive activities not expressly authorized in the Agreement.

2.3 Security and System Integrity

Customer and each End User and End Customer will not:

  • Introduce, transmit, or distribute malicious code, viruses, worms, ransomware, spyware, corrupted files, or any other harmful software or materials.
  • Attempt to gain unauthorized access to any system, network, or data, including through brute force attacks, credential stuffing, or exploitation of vulnerabilities.
  • Conduct or facilitate denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against any system or network.
  • Interfere with, impair, or disrupt the integrity, performance, or availability of the Services or any other user’s access to the Services.
  • Bypass, disable, alter, or circumvent any security feature, access control, safety features, or authentication mechanism of the Services.
  • Probe, scan, or test for vulnerabilities of the Services without Uniphore’s prior written authorization.
  • Use automated tools to access or interact with the Services in a manner that places unreasonable demand on Uniphore’s infrastructure without Uniphore’s prior written consent.

2.4 Intellectual Property

Customer and each End User and End Customer will not:

  • Infringe any patent, copyright, trademark, trade secret, or other intellectual property right of any person or entity.
  • Upload, transmit, or distribute any content that Customer (or its End Customer) does not have sufficient rights in to grant Uniphore the licenses specified in the Agreement.
  • Remove, alter, or hide any copyright, trademark, or other proprietary notice from the Services or any Output.
  • Use the Services to generate content that impersonates or misappropriates any third party’s voice, likeness or identity.

2.5 Data and Privacy

Customer and each End User and End Customer will not:

  • Submit, process, or store special categories of personal data (or other sensitive personal data) unless Customer is expressly authorized to include such personal data under the DPA.
  • Use the Services to collect, process, or store the personal data of minors without appropriate consent or otherwise in violation of applicable law.
  • Use the Services to conduct surveillance, tracking, or monitoring of individuals without their knowledge and consent, except as permitted by applicable law.
  • Transmit unsolicited political or commercial messages, spam, or any communication that violates applicable anti-spam laws.
  • Use the Services in a manner that would cause Uniphore to violate applicable data protection laws.

2.6 High-Risk and Prohibited Contexts

Without Uniphore’s prior written consent, Customer and each End User and End Customer will not use the Services or any Outputs as the sole or primary basis for decisions in contexts where errors or inaccuracies could foreseeably cause death, serious personal injury, or catastrophic harm, including:

  • Life-critical medical diagnosis, triage, or treatment decisions without qualified human clinical oversight.
  • Nuclear facility operations, power generation infrastructure, aircraft navigation, air traffic control or other safety-critical control systems.
  • Autonomous weapons systems or applications with lethal decision-making capability.
  • Any use prohibited by applicable law, regulation, or industry standard in Customer’s jurisdiction.

2.7 AI-Specific Prohibitions

Customer and each End User will not:

  • Use the Services to generate or distribute synthetic media that falsely depicts real people in a harmful or materially misleading manner.
  • Misrepresent the origin of any Output by claiming or implying that such Output was created by a human, or remove or alter any disclosures indicating that Output is AI-generated where such disclosures are provided by Uniphore.
  • Use Outputs as the sole basis for decisions that have legal or similarly significant effects on individuals.
  • Attempt to manipulate, confuse, or circumvent the Services to bypass their intended behavior or safety controls.
  • Submit Inputs designed to extract Uniphore’s training data, model weights, or proprietary model information.
  • Use the Services to systematically generate content designed to manipulate public opinion, interfere with democratic processes, or conduct coordinated inauthentic behavior.
  • Deploy AI systems using the Services in ways that violate any applicable law (including the EU AI Act’s) prohibited practices, including subliminal manipulation, exploitation of vulnerabilities, or real-time remote biometric identification in public spaces where prohibited by law.

3. CONTENT STANDARDS

Customer must ensure that all content submitted to or generated using the Services complies with this AUP. Without limiting the foregoing, Customer will ensure that such content does not:

  • Be obscene, pornographic, or sexually explicit, except to the extent expressly permitted in writing by Uniphore for specific lawful use cases.
  • Constitute hate speech, incite violence, or promote discrimination.
  • Defame, harass, or threaten any person or group.
  • Violate any person’s right of privacy or publicity.
  • Constitute false advertising or misleading commercial claims.

4. SUSPENSION AND ENFORCEMENT

Uniphore reserves the right to investigate suspected violations of this AUP. Uniphore may take any of the following actions in response to a violation or suspected violation:

  • Suspend or limit Customer’s or any End User’s access to the Services.
  • Terminate the Agreement or any Order Form in accordance with the Agreement’s termination provisions.
  • Remove or disable any content that violates this AUP.
  • Cooperate with law enforcement authorities and disclose information to the extent required or permitted by applicable law.
